Terms and Conditions

Terms and Conditions of PIRATE GmbH.
Version: July 2026

English translation. See the German original.

Preamble

We value working together as equals. These terms are intended to be fair and easy to understand, not small print to click past. They give both sides clarity and certainty so we can focus on what matters: a Safari that makes a difference for you.

01

Scope

These Terms and Conditions apply to all services provided by PIRATE GmbH (“Startup Safari”), in particular the organisation and delivery of guided tours, workshops, Innovation Dinners and consulting services.

Startup Safari’s services are offered exclusively to businesses, legal entities under public law and special funds under public law within the meaning of Section 14 of the German Civil Code (BGB). Any differing terms of the client do not become part of the contract unless Startup Safari expressly agrees to them in text form.

02

Scope of services

The specific scope of services is set out in the offer or order confirmation. Startup Safari is responsible for properly delivering the agreed program items, but does not guarantee a specific economic outcome for the client.

Startup Safari may replace individual program items (for example, particular startups or speakers) with equivalent alternatives for a valid reason. Such a replacement does not entitle the client to a price reduction or withdrawal from the contract.

03

Booking and formation of contract

Offers from Startup Safari are non-binding and, unless otherwise stated, valid for 14 days. The contract is formed when Startup Safari sends an order confirmation (in text form; email is sufficient). Subsequent changes must be made in text form.

04

Payment terms

All prices are net and subject to statutory value-added tax and any separately agreed additional costs (for example, travel, venue or catering).

  • Deposit: 50% of the order value is due when the contract is concluded. The deposit is non-refundable and will be credited against the cancellation fee if the booking is cancelled (Clause 5).
  • Final payment: The remaining 50% of the order value is due after the event has taken place.

Invoices are payable within 14 days without deduction. If payment is late, Startup Safari may charge statutory default interest under Section 288 BGB and reminder fees.

05

Cancellation by the client

Cancellations must be made in text form. As Startup Safari commits venues, founders and speakers well in advance, cancellations without charge are not possible. If the client cancels, the following flat fee, calculated on the agreed order value, is due:

When cancellation is madeFee due
More than 30 days before the date50%
30 to 7 days before the date75%
Less than 7 days before the date100%

The deposit paid will be credited against the cancellation fee. The client may show that Startup Safari suffered no loss or a substantially lower loss; Startup Safari may show that it suffered a greater loss.

Instead of cancelling, the date may be rescheduled once, no later than 14 days before the original date, for an administrative fee, provided a replacement date is available within six months. If fewer participants attend than agreed, the full agreed fee remains payable.

06

Client cooperation

The client must provide the information needed to deliver the event (in particular, topics, objectives and the final number of participants) in text form in good time, and no later than 7 days before the event.

Additional work and delays caused by late or incomplete cooperation are the client’s responsibility. The absence of some or all participants does not affect the obligation to pay.

07

Force majeure

Events of force majeure (for example, natural disasters, epidemics, official orders or strikes) that substantially hinder or prevent delivery entitle either party to reschedule the event.

If rescheduling is not possible, both parties’ obligations to perform are discharged. The client must reimburse costs already incurred and documented (for example, venues booked on a binding basis). No further claims may be made.

08

Cancellation by Startup Safari

Startup Safari may cancel the contract for good cause, in particular if a confirmed program partner becomes unavailable and no equivalent replacement can be found, or in the event of force majeure. Payments already made will be refunded to the extent that no service has been provided in return.

The client may make no further claims unless Startup Safari is responsible for the cancellation through wilful misconduct or gross negligence.

09

Confidentiality and recordings

Information shared by the startups visited and by participants during the event must be treated as confidential; the Chatham House Rule applies on request. Photos, audio recordings and video recordings of the startups visited may be made only with their prior consent.

Startup Safari may make its own recordings during the event for reference and marketing purposes. The client may object in text form.

10

Liability

Startup Safari is liable without limitation for wilful misconduct and gross negligence and for injury to life, body or health. In cases of slight negligence, Startup Safari is liable only for breach of material contractual obligations and only up to the foreseeable loss typical for the contract.

Startup Safari accepts no liability for the content, statements or services of the startups visited or other third parties.

11

Final provisions

The place of performance and exclusive place of jurisdiction for merchants is Cologne. The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Amendments and ancillary agreements must be made in text form. If any provision is or becomes invalid, the remainder of the contract remains effective; the statutory provision will replace the invalid one.
